1. INTRODUCTION
These terms and conditions apply to and govern the pre-registration offer made to you by Quasi Spirit Ltd, a company incorporated under the Companies Act, Chapter 81:01 of the Laws of the Republic of Trinidad and Tobago and Quasi Spirit, LLC, a company incorporated under the Florida Limited Liability Company Act, Chapter 608 of the Florida Statutes.
By accepting and proceeding with our registration offer, you agree to be bound by the following terms and conditions.
2. DEFINITIONS
In the terms and conditions hereunder unless the context otherwise requires:
a) “The Band” means the Carnival Band known as Spirit Mas participating in the 2026 Carnival Festival in the island of Trinidad.
b) “The Collection Period” means the period for the collection of the Costume which shall be communicated by the Company to the Masquerader no later than 6th February 2026.
c) “The Company” means the owner and operator of the Band, Quasi Spirit Ltd and/or the entity responsible for payment collection and processing, Quasi Spirit, LLC.
d) “The Costume” means and includes the Wristband, bodywear, shorts and all other
accompanying items, accessories, and embellishments in the Registered Section for which the Masquerader has paid the Costume Price.
e) “The Costume Price” means the price of the Costume in the Registered Section.
f) “The Deposit” means the downpayment to be paid by the Masquerader to the Company towards the Costume Price.
g) “The Distribution Centre” means the location from where the Costume is to be collected during the Collection Period to be communicated by the Company to the Masquerader no later than 6th February 2026.
h) “The Masquerader” means the person who has registered for the Costume in the Band.
i) “The Masquerader’s Agent” means any person who is collecting the Costume from the
Distribution Centre on the Masquerader’s behalf.
j) “The Registration Period” means the period during which the Masquerader is to register and pay the Deposit for the Costume.
k) “The Registered Section” means the section in the Band for which the Masquerader has registered.
l) “The Wristband” means the wristband included with the Costume that permits the
Masquerader access to the Band and its amenities during the 2026 Carnival Festival.
3. TERMS AND CONDITIONS
a) The Deposit is to be paid by the Masquerader to the Company during the Registration
Period to complete the registration process and once paid, the Deposit is non-refundable.
b) Provided that the entirety of the Deposit is paid to the Company on or before the expiration of the Registration Period, the Masquerader shall be registered in the Band in the Registered Section for the 2026 Carnival Festival.
c) By registering, the Masquerader confirms that they are at least eighteen (18) years of age and have the legal capacity to enter into a binding agreement.
d) A non-refundable service and handling fee of 8% will be applied and added to all payments made on the Company’s website, including the payment of the Deposit and the balance of the Costume Price.
e) Failure to pay the entirety of the Deposit on or before the expiration of the Registration
Period shall result in the forfeiture of all monies paid by the Masquerader to the Company
up to that point.
f) Once registered in the Registered Section, the Masquerader shall not be permitted to
change the Registered Section to another section in the Band.
g) Once the Masquerader is registered in the Registered Section, the Company reserves the right and has the absolute discretion to refuse any requests from the Masquerader to return, exchange or vary the measurements or size of the Costume.
h) The balance of the Costume Price is to be paid by the Masquerader to the Company no later than seven (7) days prior to the commencement of the Collection Period and the
Company shall not be accepting any payments at the Distribution Centre during the
Collection Period.
i) The Costume is to be collected at the Distribution Centre during the Collection Period.
j) So as to mitigate against the risk of fraud and/or an unauthorised collection of the Costume, the person collecting the Costume (be it the Masquerader, or the Masquerader’s Agent) must present to the Company at the Distribution Centre at least one (1) form of government-issued identification and consent to having their photograph taken by the Company for verification purposes.
k) The Costume remains the property of the Company until the Costume Price is paid in full and the Costume is collected. Title to the Costume shall pass to the Masquerader only upon full payment of the Costume Price and collection from the Distribution Centre during the Collection Period.
l) All monies paid to the Company, inclusive of the Deposit and/or the Costume Price, are
final and non-refundable.
m) If the 2026 Carnival Festival scheduled to occur in the island of Trinidad is postponed or cancelled for any reason, all monies paid to the Company, inclusive of the Deposit and/or the Costume Price shall automatically be deferred to the next Carnival Festival held in the island of Trinidad. In such an event, no refunds shall be issued, and all sums paid shall be applied toward the Masquerader’s participation in the next scheduled Carnival Festival. If the Masquerader is unable or unwilling to participate in the rescheduled event, all funds shall be forfeited.
n) To the fullest extent permitted by applicable law, the Company and its affiliates,
officers, employees, agents, and partners shall not be liable for any indirect,
incidental, special, consequential, or punitive damages, or any loss of profits or
revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or
other intangible losses, resulting from:
i. Your use of or inability to use the Company’s website or services.
ii. Any unauthorized access to or use of our secure servers and/or any personal
information stored therein.
iii. Any interruption or cessation of transmission to or from our website.
iv. Any bugs, viruses, trojan horses, or the like that may be transmitted to or
through our website by any third party.
v. Any errors or omissions in any content or for any loss or damage incurred as
a result of the use of any content posted, emailed, transmitted, or otherwise
made available through the website.
vi. The quality, safety, suitability, or legality of any costumes purchased through
our website.
o) The Company’s liability is limited to the maximum extent permitted by law in
Trinidad and Tobago. In no event shall the Company’s liability to you for all damages,
losses, and causes of action exceed the amount paid by you, if any, for accessing the
Company’s website or purchasing the Costume.
p) By registering, the Masquerader consents to the Company collecting, storing, and
processing the Masquerader’s personal information, including photographic identification and images, for the purposes of registration, security, and distribution. All personal data will be handled in accordance with data protection laws applicable in the Republic of Trinidad and Tobago.
q) The Company shall not be liable for any delay or failure to perform its obligations under these terms and conditions due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, government restrictions, or failure of
suppliers.
r) By registering, the Masquerader acknowledges that participation in Carnival events carries inherent risks, including but not limited to physical injury, theft, or property damage. The Masquerader voluntarily assumes all such risks and agrees that the Company shall not be liable for any injury, loss, or damage sustained while masquerading in the Band.
s) These terms and conditions are governed by the laws of the Republic of Trinidad and
Tobago, the courts of which have exclusive jurisdiction to determine any disputes arising
from these terms and conditions.
t) The Company reserves the right to amend these terms and conditions at any time and any such amendments will be published on the Company’s website.
u) If any provision of these terms and conditions is found to be unlawful, void, or for any
reason unenforceable, then that provision shall be deemed severable from the rest and shall not affect the validity and enforceability of any remaining provisions.
v) These terms and conditions constitute the entire agreement between you and the Company in respect of the matters set out herein and supersede any prior agreements, representations, or understandings.
